Wholesale Terms and Conditions

Supplier: Ultrapure Laboratories Ltd., trading as Ultrapure, Registered Company No. 509478, Corroy, Co. Mayo, F26 NW88, Ireland (“Ultrapure”).
Business Customer: The retailer, wholesaler or other business whose wholesale account or order is accepted by Ultrapure (the “Customer”).
1. Scope and acceptance
These terms apply to wholesale applications, accounts and orders supplied by Ultrapure to the Customer. They are intended for business-to-business transactions only.
By applying for a wholesale account, placing an order or accepting delivery, the Customer confirms that it is acting in the course of business and agrees to these terms.
If Ultrapure agrees different terms in writing for a specific order, those written terms will apply to that order to the extent of any conflict.
2. Wholesale account approval
Wholesale access is subject to application, verification and approval by Ultrapure. Approval is not guaranteed and may be subject to conditions.
The Customer must keep its business, billing, delivery and contact details accurate and current, and must keep its account credentials secure.
Ultrapure may review, restrict, suspend or withdraw wholesale access where reasonably necessary, including where account information is inaccurate, the account is misused or these terms are breached.
3. Products and availability
Only products made available by Ultrapure through its current wholesale range may be ordered.
Products, pack sizes, specifications and availability may change or be discontinued. All orders are subject to availability and final acceptance by Ultrapure.
Product images and descriptions are provided for identification and guidance. Minor packaging, label or presentation changes do not entitle the Customer to reject goods where the goods remain materially consistent with the order.
4. Prices and VAT
Wholesale prices are stated in euro and include VAT at the applicable rate unless Ultrapure expressly states otherwise.
Each listed wholesale price is the price for one individual unit. Products available through the wholesale catalogue may be ordered as individual units unless a different minimum or quantity requirement is clearly shown at the time of ordering.
Ultrapure may amend prices, discounts or promotions at any time before an order is accepted. Any pricing error may be corrected before dispatch.
The invoice or order confirmation will show the price and VAT treatment applicable to the accepted order.
5. Minimum order value and quantities
Unless Ultrapure agrees otherwise in writing, the minimum product order value is €250 including VAT, after discounts and before delivery charges.
Products may be ordered as individual units unless a different minimum or quantity requirement is clearly shown in the wholesale catalogue.
Ultrapure may reject, adjust or contact the Customer about an order that does not meet the applicable minimum order value or any quantity requirement displayed at the time of ordering.
6. Orders and acceptance
An order is an offer by the Customer to purchase goods. Automated acknowledgements confirm receipt only and do not constitute acceptance.
An order is accepted when Ultrapure confirms acceptance, issues a final invoice or dispatches the goods, whichever occurs first.
Ultrapure may decline, cancel or limit an order, including where goods are unavailable, information is incomplete, payment is not successfully authorised, the minimum order value is not met or an obvious pricing or product error exists.
Requests to amend an order after submission are subject to Ultrapure’s approval and may not be possible once processing has begun.
7. Payment
Wholesale orders must be paid for at checkout using one of the payment methods made available by Ultrapure.
Payment must be successfully authorised before an order can be processed. The payment methods available at checkout may vary and may be changed by Ultrapure from time to time.
The Customer must pay all amounts due in full, without deduction, withholding or set-off except where required by law.
Ultrapure may decline, suspend or cancel an order where payment is declined, reversed, disputed or otherwise not successfully received.
8. Delivery
Delivery charges are calculated according to factors that may include order weight, destination and service.
Any dispatch or delivery date is an estimate and is not guaranteed. Ultrapure may deliver an order in instalments where reasonably necessary.
The Customer must provide a complete and accurate delivery address, whether using its registered company location or another delivery address entered at checkout, and must ensure that an authorised person can receive the goods.
The Customer is responsible for any customs duties, import taxes, local charges or formalities that apply outside Ireland.
9. Risk and ownership
Risk in the goods passes to the Customer on delivery to the delivery address or collection by the Customer or its nominated carrier.
Ownership of the goods remains with Ultrapure until Ultrapure has received full payment of all amounts due for those goods.
10. Inspection, shortages and damage
The Customer must inspect goods promptly after delivery.
Visible damage, incorrect items or shortages should be reported to Ultrapure within three working days of delivery, with the order number, product details, quantities and clear photographs where relevant.
Hidden defects should be reported promptly after discovery.
The Customer should retain affected goods and packaging and must not dispose of them until Ultrapure has provided instructions.
Ultrapure may ask for goods to be returned or inspected before providing a replacement, credit or refund.
11. Returns and cancellations
These are business-to-business terms. Consumer cooling-off rights do not apply to wholesale purchases.
A return requires Ultrapure’s prior written approval and any return instructions must be followed.
Unless goods are faulty, damaged or supplied incorrectly, approved returns must be unopened, unused, in original packaging and in saleable condition.
The Customer is responsible for non-fault return costs and original delivery charges are not refundable.
Opened, personalised, discontinued, clearance or short-dated goods may be refused unless Ultrapure agrees otherwise in writing.
Requests to cancel or amend an order are subject to approval and may not be possible once processing or dispatch has begun.
12. Customer responsibilities
The Customer must:
- store, handle, display and sell goods safely and in accordance with product instructions and applicable law;
- preserve original labels, batch codes, expiry information and traceability records;
- not alter, relabel, repackage, dilute or tamper with goods without Ultrapure’s written approval;
- not make misleading, unauthorised or unsubstantiated product, health or medical claims; and
- deal fairly with its own customers and remain responsible for its own retail terms and sales practices.
13. Product safety and recalls
The Customer must notify Ultrapure promptly of any safety concern, serious complaint, suspected defect or regulatory enquiry relating to the goods.
The Customer must maintain sufficient sales and batch records to support traceability and must cooperate fully with any safety notice, withdrawal or recall, including stopping sale and contacting downstream customers where reasonably required.
14. Intellectual property and brand use
All trade marks, product names, photographs, artwork, copy and other brand materials remain the property of Ultrapure or its licensors.
The Customer receives a limited, revocable, non-exclusive permission to use approved materials solely to market genuine Ultrapure goods.
Materials must not be altered or used in a way that is misleading, unlawful or damaging to the brand.
15. Liability
Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the previous paragraph, Ultrapure will not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of anticipated savings or loss of goodwill.
Ultrapure’s total liability arising from a particular order will not exceed the amount paid or payable by the Customer for that order.
16. Events outside reasonable control
Ultrapure will not be responsible for delay or failure caused by events outside its reasonable control, including transport disruption, supplier failure, utility or systems failure, industrial action, severe weather, public health events, governmental action or shortage of materials.
Ultrapure will take reasonable steps to reduce the effect of the event and may cancel or adjust affected orders.
17. Suspension and termination
Ultrapure may suspend supply, restrict ordering access, limit available payment methods or terminate a wholesale account where the Customer breaches these terms, fails to pay amounts due, becomes insolvent, misuses the brand or creates a material legal, safety or reputational risk.
Amounts already due remain payable.
18. Data protection and confidentiality
Each party must comply with applicable data protection law when handling personal data.
Ultrapure will process account and contact information in accordance with its Privacy Policy.
Each party must protect confidential commercial information received from the other and use it only for the wholesale relationship, except where disclosure is required by law.
19. General
A failure or delay in enforcing a right does not waive that right.
If any provision is found invalid or unenforceable, the remaining provisions continue in effect.
The Customer may not assign or transfer its rights or obligations without Ultrapure’s written consent.
Changes to these terms must be made or confirmed in writing by Ultrapure.
20. Governing law and courts
These terms and any non-contractual obligations arising from them are governed by the laws of Ireland.
The courts of Ireland have exclusive jurisdiction, unless applicable law requires otherwise.
